IMPORTANT: These Terms of Service constitute a legally binding agreement between you and Nexus Workspace. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree with any part of these terms, you must not access or use our services.

These Terms of Service ("Terms") govern your access to and use of Nexus Workspace's website, services, and facilities (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or by posting a notice on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

4. Eligibility

4.1
Age Requirement

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

4.2
Legal Capacity

You must have the legal capacity to enter into binding contracts. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4.3
Prohibited Users

We reserve the right to refuse service to anyone for any reason at any time, including but not limited to violation of these Terms or inappropriate conduct.

5. Registration & Accounts

5.1
Account Creation

To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity, or if you violate these Terms.

6. Booking & Payment Terms

6.1
Booking Confirmation

Bookings are confirmed only upon receipt of full payment or valid payment authorization. We reserve the right to cancel any booking that has not been properly confirmed.

Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated on our website. All payments must be made in US Dollars unless otherwise specified.

Pricing

All prices are subject to change without notice. Current prices are displayed on our website and booking platform. Taxes and fees will be added as applicable.

Late Payments

Late payments may result in suspension of Services and/or termination of membership. A late fee of 5% per month may be applied to overdue balances.

7. Cancellation & Refunds

7.1
Cancellation Policy

Cancellation policies vary by service type. Please refer to the specific cancellation terms provided at the time of booking.

No-Show Policy

Failure to show up for a booked session without proper cancellation will result in forfeiture of the booking fee and may affect future booking privileges.

Refund Processing

Refunds, when applicable, will be processed within 10 business days to the original payment method. Processing times may vary based on your financial institution.

8. User Conduct

General Conduct

All users must conduct themselves in a professional manner and respect the rights and privacy of other members. Disruptive, abusive, or inappropriate behavior will not be tolerated.

Facility Rules

Users must comply with all facility rules and regulations, which may include:

  • Maintaining reasonable noise levels
  • Keeping common areas clean and tidy
  • Respecting designated quiet zones
  • Proper use of equipment and amenities
  • Compliance with security protocols
8.3
Guest Policy

Members may bring guests subject to prior approval and registration. Members are responsible for their guests' conduct and any damages caused by guests.

9. Prohibited Activities

Strictly Prohibited

The following activities are strictly prohibited and may result in immediate termination of membership and legal action:

  • Harassment or discrimination
  • Unauthorized access to systems
  • Theft or vandalism
Disruptive Behavior

  • Smoking in non-designated areas
  • Unauthorized commercial activities

Consequences

Violation of prohibited activities may result in immediate termination of Services, forfeiture of payments, and liability for any damages caused.

10. Intellectual Property

Our Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property displayed on our website or in our facilities are the property of Nexus Workspace or our licensors. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.

Your Content

You retain ownership of any content you create or upload to our Services. However, by posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content as necessary to provide our Services.

Copyright Complaints

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us at legal@nexusworkspace.com with the details of your claim.

11. Limitation of Liability

General Limitation

To the maximum extent permitted by law, Nexus Workspace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Maximum Liability

Our total liability to you for all claims arising out of or relating to these Terms or your use of our Services shall not exceed the greater of $100 or the amount you have paid us in the past six months.

11.3
Personal Property

We are not responsible for loss or damage to personal property brought into our facilities. Members are encouraged to obtain appropriate insurance for their personal belongings.

12. Indemnification

Your Responsibility

You agree to indemnify, defend, and hold harmless Nexus Workspace, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Any damage or injury caused by you or your guests

13. Termination

13.1
Termination by You

You may terminate your membership at any time by providing written notice in accordance with your membership agreement and our cancellation policy.

13.2
Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13.3
Effect of Termination

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

Dispute Resolution Process

  1. Informal Negotiation: Parties agree to attempt informal resolution for 30 days
  2. Mediation: If informal resolution fails, parties agree to mediation
  3. Arbitration: Unresolved disputes proceed to binding arbitration
  4. Governing Law: California law governs these Terms
  5. Venue: Disputes shall be resolved in San Francisco, California

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to Terms

Modification Rights

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice before the changes take effect.

Continued Use

Your continued use of our Services after any modification to these Terms constitutes your acceptance of the modified Terms.
